Terms and Conditions for Quit Plastic Exclusive Dealership (₹9 Lakhs Investment Drinkware Product Range)

1. Exclusive Territory Rights:

  • The dealership grants exclusive rights to distribute Quit Plastic products within the specified district.

  • The dealer agrees not to sell or distribute competing products within the territory.

2. Investment and Payment:

  • The dealer must make a one-time investment of ₹9 Lakhs.

  • Payment terms will be mutually agreed upon and outlined in a separate agreement.

3. Product Supply:

  • Quit Plastic will supply the dealer with a specified quantity of products as per the agreed-upon schedule.

  • The dealer is responsible for the transportation and storage of products.

4. Pricing and Sales:

  • The dealer will purchase products from Quit Plastic at the agreed-upon wholesale price.

  • The dealer is responsible for setting retail prices and managing sales within their territory.

5. Marketing and Sales Efforts:

  • The dealer will actively promote Quit Plastic products within their territory using effective marketing strategies.

  • Quit Plastic may provide marketing materials and support.

6. Performance Metrics:

  • The dealer's performance will be evaluated based on sales volume, market penetration, and adherence to Quit Plastic's standards.

7. Termination:

  • Either party may terminate the agreement for cause, such as breach of contract or failure to meet performance metrics.

  • Upon termination, the dealer must return all unsold products and any proprietary materials.

8. Dispute Resolution:

  • Any disputes arising from the agreement will be resolved through amicable negotiation or mediation.

  • If negotiations fail, the parties agree to submit the dispute to arbitration in accordance with the applicable laws.

9. Governing Law:

  • The agreement shall be governed by and construed in accordance with the laws of India.

 

10. Amendments:

  • Any amendments to the agreement must be made in writing and signed by both parties.

11. Confidentiality:

  • Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the agreement.
