Terms and Conditions for Quit Plastic Exclusive Takeaway Dealership (₹9 Lakhs Investment - Special Product Range)
1. Exclusivity
You are granted the sole and exclusive right to sell Quit Plastic's designated "Special Product Range" of takeaway products within your defined territory.No other dealers, whether focusing on the Special Product Range or other products, will be appointed in your area during the term of this agreement.Selling outside your designated territory or venturing into products outside the "Special Product Range" without our prior written consent is strictly prohibited.
2. Investment & Payment
A non-refundable investment of ₹9 lakhs is required for this exclusive takeaway dealership with access to the Special Product Range.Payment terms, including any installment options or schedules, are detailed in a separate agreement and must be strictly adhered to.The investment is non-refundable except in cases where Quit Plastic fails to fulfill its obligations as outlined in this agreement.
3. Products & Pricing
You will have the exclusive right to sell the specified "Special Product Range" of takeaway products within your territory, as detailed in our product catalog.We reserve the right to update the Special Product Range and its pricing with reasonable prior notice, typically not less than 30 days.You are obligated to adhere to our recommended retail prices or any specific pricing agreements we establish for the Special Product Range. Any deviations require prior written approval from Quit Plastic.
4. Minimum Purchases
A minimum monthly purchase volume of [Specify Amount] from the Special Product Range is mandatory to maintain your exclusive dealership status.Failure to meet this minimum for three consecutive months may result in the termination of exclusivity or the imposition of penalties, at the sole discretion of Quit Plastic.
5. Marketing & Branding
You are expected to actively and diligently promote the Special Product Range of Quit Plastic takeaway products within your territory, employing effective marketing and sales strategies.We will provide marketing materials, branding guidelines, and support specific to the Special Product Range to assist your promotional efforts.You must strictly adhere to our branding guidelines and ensure accurate and positive representation of the Quit Plastic brand at all times. Any deviations or unauthorized use of our brand assets will be grounds for immediate termination of this agreement.
6. Inventory
Maintain sufficient and well-managed inventory levels of the Special Product Range to meet customer demand within your territory, avoiding both overstocking and stockouts.We reserve the right to conduct periodic inventory audits to ensure compliance with this agreement and maintain product quality standards.Ensure proper storage and handling of products in accordance with our guidelines to maintain their quality, hygiene, and safety.
7. Performance & Reporting
You will strive to achieve mutually agreed-upon sales targets for the Special Product Range within your territory.Submit accurate and timely sales reports and inventory updates as requested by Quit Plastic, facilitating performance monitoring and business planning.We will periodically review your performance and provide constructive feedback and recommendations for improvement. Consistent underperformance may result in the termination of exclusivity or other actions as deemed appropriate by Quit Plastic.
8. Termination
This agreement can be terminated by either party with written notice, adhering to the specified notice period outlined in the full agreement.Termination may occur due to:Breach of any terms or conditions of this agreement.Consistent failure to meet performance targets.Insolvency or bankruptcy of either partyOther reasons as specified in the full agreement.Upon termination, you must:Immediately cease all sales and marketing activities related to Quit Plastic products.Return any remaining inventory or marketing materials to Quit Plastic at your own expense.Settle any outstanding payments or dues to Quit Plastic.
9. Confidentiality
You acknowledge that during the course of this agreement, you may have access to Quit Plastic's confidential information, including trade secrets, customer data, pricing strategies, and marketing plans.You agree to maintain strict confidentiality of all such information and not disclose it to any third party without prior written consent from Quit Plastic.This confidentiality obligation will remain in effect even after the termination of this agreement.
10. Governing Law
This agreement is governed by the laws of India.Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts in Jamnagar, Gujarat.
